These Terms of Service ("Agreement") are a legally binding agreement between the user or subscriber of the Services ("Customer" or "you") and Chen Holdings Group, LLC (operating as Usedora.ai) ("Usedora.ai," "we," or "us"). By registering for the Services or by accessing or using the Services or Website, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms "Customer" or "you" shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not use the Services. You acknowledge that this Agreement is a contract between you and Usedora.ai, even though it is electronic and is not physically signed by you, and it governs your use of the Services.

1. Services
Usedora.ai provides a suite of online tools and services (the "Services") related to AI-powered search engine optimization and competitive intelligence tools designed to help businesses increase visibility, capture AI search traffic, and outrank competitors.. The Services are available at https://usedora.ai or another URL we designate (the "Website"). The Services may include features such as AI-powered content generation, SEO analysis, competitive research, content strategy, outreach, workflow management, and reporting features..
1.1. Updates; Additional Services
The Services include all updates, modifications, and enhancements thereto that Usedora.ai elects to make generally available to all users of the Services under a given subscription at no additional charge ("Updates"). All Updates shall be subject to the terms of this Agreement. You may subscribe to additional products and services from Usedora.ai, which shall be subject to the terms of this Agreement, including any supplementary terms applicable to such additional products and services, or to separate terms and conditions to be accepted by you prior to subscribing to such additional products and services.
1.2. Third-Party Services and Linked Websites
The Services may be used to interface with certain third-party services and applications ("Third-Party Services"). Third-Party Services are governed by the terms made available by the provider of such Third-Party Service. Usedora.ai may also provide tools through the Services that enable you to export information, including User Content (as defined below), to Third-Party Services. By using one of these tools, you hereby authorize Usedora.ai to transfer that information to the applicable Third-Party Service(s). Usedora.ai is not responsible for monitoring any transaction between you and any such Third-Party Services. You are responsible for reviewing the terms of use and privacy policy of any Third-Party Services before sharing any User Content or information with such Third-Party Services. Once sharing occurs, Usedora.ai has no control over the information that has been shared, and Usedora.ai will not be able to remove such information from third-party servers. Usedora.ai disclaims all liability for any data security or privacy breaches that may occur once information is shared with Third-Party Services. The Services may also contain links to third-party websites ("Linked Websites"). Usedora.ai is not responsible for the content or practices of Linked Websites and disclaims any liability related to your use of Linked Websites.
2. Registration and Account
2.1. Registration
To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.
2.2. Account Security
You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password. You agree to notify us immediately of any unauthorized use of your account or password, or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this Section 2.2.
3. Customer Obligations and Restrictions
3.1. Customer Obligations
Customer will be solely responsible for:
•all Customer Data (defined below), including its accuracy, quality, integrity, legality, reliability, and appropriateness;
•obtaining all intellectual property rights and other rights, approvals, and permissions necessary for Customer to make available Customer Data to Usedora.ai and for Usedora.ai to Process Customer Data as contemplated by this Agreement;
•Customer’s use of the Usedora.ai Technology (defined below), including results obtained and conclusions drawn from such use;
•ensuring that Customer’s use of the Usedora.ai Technology complies with all applicable Laws and regulations;
•ensuring that Customer’s use of the Usedora.ai Technology does not violate the rights of any third party, including intellectual property rights and privacy rights;
•ensuring that Customer’s use of the Usedora.ai Technology does not introduce any viruses or other harmful code into the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not interfere with the operation of the Usedora.ai Technology or the use of the Usedora.ai Technology by other customers;
•ensuring that Customer’s use of the Usedora.ai Technology does not damage, disable, or impair the Usedora.ai Technology or interfere with any other party’s use of the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to gain unauthorized access to any systems or networks associated with the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to circumvent any security or access restrictions of the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to probe, scan, or test the vulnerability of the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to overload, flood, or spam the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to modify, adapt, or hack the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to create a similar or competing product or service;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to reverse engineer, decompile, or disassemble the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to remove or obscure any proprietary notices in the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to publish benchmarks or performance information about the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to interfere with the operation of the Usedora.ai Technology, circumvent any access restrictions, or conduct any security or vulnerability test of the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to transmit any viruses or other harmful materials to the Usedora.ai Technology;
•ensuring that Customer’s use of the Usedora.ai Technology does not attempt to take any action that risks harm to others;
•ensuring that Customer’s use of the Usedora.ai Technology does not intentionally harm the security, availability, or integrity of the Usedora.ai Technology; or
•ensuring that Customer’s use of the Usedora.ai Technology does not access or use the Usedora.ai Technology in a manner that violates any applicable relevant local, state, federal or international laws, regulations and conventions, including those related to data privacy or data transfer, international communications, or export of data ("Law").
3.2. Restrictions
Customer will not (and will not permit anyone else to), directly or indirectly, do any of the following: (a) provide access to, distribute, sell, or sublicense the Services, or related content or technology provided by or on behalf of Usedora.ai (collectively, "Usedora.ai Technology") to a third party (other than Users); (b) use the Usedora.ai Technology to develop a similar or competing product or service or to provide products or services to a third party; (c) reverse engineer, decompile, disassemble, or seek to access the source code or non-public APIs to the Usedora.ai Technology, except to the extent such a restriction is not permitted under applicable Law (and then only with prior notice to Usedora.ai); (d) modify or create derivative works of the Usedora.ai Technology or copy any element of the Usedora.ai Technology; (e) remove or obscure any proprietary notices in the Usedora.ai Technology; (f) publish benchmarks or performance information about the Usedora.ai Technology; (g) interfere with the operation of the Usedora.ai Technology, circumvent any access restrictions, or conduct any security or vulnerability test of the Usedora.ai Technology; (h) transmit any viruses or other harmful materials to the Usedora.ai Technology; (i) use the Usedora.ai Technology to take any action that risks harm to others; (j) intentionally harm the security, availability, or integrity of the Usedora.ai Technology; or (k) access or use the Usedora.ai Technology in a manner that violates any applicable relevant local, state, federal or international laws, regulations and conventions, including those related to data privacy or data transfer, international communications, or export of data ("Law").
4. Data Processing Addendum (DPA)
For Customers who are data controllers under applicable data protection laws (e.g., GDPR), and where Usedora.ai processes personal data on their behalf, a separate Data Processing Addendum (DPA) may be required. The DPA will govern the terms of such processing, outlining the roles and responsibilities of both parties, data security measures, data breach notification procedures, and sub-processor management, in compliance with relevant data protection laws. 5. Data and Artificial Intelligence
5.1. Retention of Rights
5.2. AI-Specific Terms
Given that Usedora.ai provides AI-powered services, the following AI-specific terms apply:
•Accuracy and Reliability of AI Output: Our AI-powered services generate content and insights based on complex algorithms and data. While we strive for accuracy, the Output may not always be error-free, complete, or up-to-date. You acknowledge that AI-generated Output should be reviewed and validated by human users before reliance or publication.
•Ownership of AI-Generated Content: Unless otherwise specified in a separate agreement, you retain ownership of the input data you provide to our AI services. Usedora.ai hereby assigns to you all of its right, title, and interest, if any, in and to the content generated by our AI services based on your input (the "AI Output"). However, you acknowledge that due to the nature of AI technologies, AI Output may not be unique, and other users may receive similar or identical output.
•User Responsibility: You are solely responsible for the input data you provide to our AI services and for the use of any AI Output. You agree to use our AI services and AI Output in compliance with all applicable laws and regulations, and not to use them to generate or disseminate illegal, harmful, discriminatory, or infringing content.
•Bias and Fairness: We endeavor to develop and deploy AI systems responsibly, including efforts to mitigate algorithmic bias. However, you acknowledge that AI models can reflect biases present in their training data. We encourage users to exercise critical judgment when using AI Output.
5.3. Use of Customer Data
Customer hereby grants Usedora.ai a non-exclusive, worldwide, royalty-free, fully paid-up, non-sublicensable (except to contractors and service providers), non-transferable (except as set forth in Section [insert relevant section number for assignment]) right to use, copy, store, disclose, transmit, transfer, publicly display, modify, create derivative works from, and Process any materials that Customer (including its Users) inputs or makes available to Usedora.ai, including any Inputs or other queries submitted through the Services (collectively, "Customer Data") solely as necessary: (a) to perform its obligations set forth in this Agreement; (b) to derive or generate Telemetry; or (c) to comply with applicable Laws. For the avoidance of doubt, Usedora.ai does not train the artificial intelligence or machine learning models used in the Services, nor does it authorize any AI Platform to train its applicable artificial intelligence or machine learning models, on any Customer Data.
5.4. Output
Usedora.ai and its service providers collect and receive data by Processing Customer Data in connection with the Services. This data generation and collection process may be conducted, in whole or in part, using technologies that use or rely upon artificial intelligence, machine learning techniques, and other similar technology and features, including AI Platforms. In response to Customer’s (including its Users’) Inputs or other queries submitted through the Services, Usedora.ai may make available to Customer through the Services certain of these data, as well as reports, information, content, and other materials (collectively, "Output"). Customer acknowledges and agrees that Output may be comprised of proprietary and third-party data, information, and content, and Customer may use the Output solely in accordance with the terms and conditions of this Agreement and applicable Laws.
5.5. Telemetry
"Telemetry" means information, technical logs, data, metrics, and learnings generated from or related to Customer’s and Users’ use of the Services, such as feature usage, click-throughs, and dwell times, which information does not identify Users, Customer, or any natural human persons as the source thereof. Usedora.ai may use and exploit Telemetry without restriction.
Except for the limited licenses granted in this Agreement, (a) nothing in this Agreement will be understood to grant Usedora.ai any rights in or to Customer Data (defined below) and (b) nothing in this Agreement will be understood to grant Customer any rights in or to Usedora.ai Technology.
6. Fees and Payment
6.1. Fees
Customer will pay Usedora.ai the fees set forth in the Order ("Fees"). All Fees are non-cancelable and non-refundable. Usedora.ai reserves the right to change the Fees at any time, upon notice to Customer. If Customer does not agree to the changed Fees, Customer may terminate this Agreement upon notice to Usedora.ai.
6.2. Payment Terms
Customer will pay all Fees in accordance with the payment terms set forth on the Website or in your Order Form. If Customer fails to pay any Fees when due, Usedora.ai may suspend Customer’s access to the Services until such time as all past due Fees are paid in full. Customer will reimburse Usedora.ai for all reasonable costs and expenses (including reasonable attorneys’ fees) incurred by Usedora.ai in collecting any past due Fees.
6.3. Taxes
Customer will be responsible for all sales, use, value added, withholding, and other taxes, duties, and charges of any kind (other than taxes on Usedora.ai’s net income) imposed by any federal, state, local, or foreign governmental entity in connection with this Agreement ("Taxes"). If Usedora.ai is required to pay any Taxes, Customer will reimburse Usedora.ai for such Taxes.
7. Term and Termination
7.1. Term
This Agreement will commence on the Effective Date and will remain in effect until terminated by either Party in accordance with this Section 7 ("Term").
7.2. Termination for Convenience
Either Party may terminate this Agreement for convenience upon 30 days’ prior written notice to the other Party.
7.3. Termination for Cause
Either Party may terminate this Agreement for cause if the other Party materially breaches this Agreement and fails to cure such breach within 30 days after receiving written notice thereof. Usedora.ai may also terminate this Agreement for cause if Customer breaches Section 3.1 or 3.2.
7.4. Effect of Termination
Upon termination of this Agreement for any reason:
•all rights and licenses granted by Usedora.ai to Customer under this Agreement will immediately terminate;
•Customer will immediately cease all use of the Usedora.ai Technology;
•Customer will return to Usedora.ai or destroy all copies of the Usedora.ai Technology and all Confidential Information of Usedora.ai in Customer’s possession or control;
•Usedora.ai will return to Customer or destroy all copies of Customer Data and all Confidential Information of Customer in Usedora.ai’s possession or control;
•Customer will pay to Usedora.ai all unpaid Fees that accrued prior to the effective date of termination;
•Usedora.ora.ai will pay to Customer all unpaid refunds that accrued prior to the effective date of termination;
•Sections 3.1, 3.2, 5.1, 5.3, 5.4, 5.5, 6.1, 6.3, 7.4, 8, 9, 10, 11, 12, 13, and 14 will survive termination.
8. Confidentiality
8.1. Definition
"Confidential Information" means any information disclosed by one Party to the other Party, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information of Usedora.ai includes the Usedora.ai Technology. Confidential Information of Customer includes Customer Data. Confidential Information does not include any information that:
•is or becomes generally known to the public without breach of any obligation owed to the disclosing Party;
•was known to the receiving Party prior to its disclosure by the disclosing Party without breach of any obligation owed to the disclosing Party;
•is received from a third party without breach of any obligation owed to the disclosing Party; or
•was independently developed by the receiving Party without use of or reference to the disclosing Party’s Confidential Information.
7.2. Protection of Confidential Information
The receiving Party will use the same degree of care that it uses to protect the confidentiality of its own confidential information of like kind (but not less than reasonable care) to (a) not use any Confidential Information of the disclosing Party for any purpose outside the scope of this Agreement and (b) limit access to Confidential Information of the disclosing Party to those of its employees, contractors, and agents who need such access for purposes consistent with this Agreement.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. USEDORA.AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL USEDORA.AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
10. Indemnification
You agree to indemnify, defend, and hold harmless Usedora.ai and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with (a) your access to or use of the Services; (b) your violation of this Agreement; or (c) your violation of any rights of another.
11. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Wilmington, Delaware.
12. Miscellaneous
12.1. Entire Agreement
This Agreement constitutes the entire agreement between you and Usedora.ai regarding the use of the Services and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral.
12.2. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.3. Waiver
No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Usedora.ai’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
12.4. Assignment
You may not assign or transfer this Agreement, by operation of law or otherwise, without Usedora.ai’s prior written consent. Any attempt by you to assign or transfer this Agreement, without such consent, will be null and void. Usedora.ai may freely assign or transfer this Agreement without restriction.
